When a legal matter is wrought with complication, instead of shying away, Emilu digs in and analyzes all possible solutions and troubleshoots possible pitfalls.

As a business lawyer, Emilu works with businesses at every stage of their life cycle – from entrepreneurs to mature multi-national companies.  Emilu assists clients with drafting documents related to their entity selection such as bylaws, shareholder agreements, operating agreements, partnership agreements, and other internal governance documents.  She drafts a variety of contracts for business clients dealing with their operations.  Working closely with our firm’s merger and acquisition team, Emilu assists clients with equity and asset acquisitions and sale and merger transactions.  In addition, she works closely with clients regarding their real estate transactions, both commercial and residential, by drafting lease agreements, easements, reviewing title commitments, and drafting and reviewing purchase agreements.

As a member of the Health Care Focus Team, she counsels clients regarding the application of various health care regulations to their businesses.  Specifically, she has recently reviewed and drafted business associate agreements and vendor agreements, provided analysis of how to apply Stark Law and Anti-Kickback Statutes to fee arrangements, assisted clients in opting out of Medicare, as well as providing counsel regarding their merger and acquisition transactions.

Emilu has an active cybersecurity and data privacy practice, which is not surprising considering the increase in data breach incidents and personal data regulations.  Specifically, she works with clients regarding incident breach and risk assessment, individual and regulatory notifications, and international border data transfers.

Examples of recent matters include:

  • Represented the owner of commercial property located in multiple states in a $50 million real estate transaction including preparation and negotiation of closing documents, review of title commitments and resolution of title exceptions, preparation of deeds, real estate transfer documents, and other closing documents, and coordinating with local counsel in each state.
  • Participated in a complex stock purchase of an international transportation company.
  • Assisted women business owners with the successful certification of their businesses as Women Owned Business Enterprises at both the state and national level.
  • Assisted clients with starting a cash-based medical practice.
  • Negotiated an air medical service provider agreement.
  • Consulted and advised on HIPAA breach notification requirements.
  • Advised clients on corporate practice of medicine doctrine.
  • Due diligence for sale of family owned manufacturing company
  • Assisted multiple businesses and trade associations with the preparation and adoption of foreign sanctions and trade regulation compliance policies.
  • Advised clients in the financial services industry on a wide array of regulatory and compliance matters.
  • Worked with financial institutions to develop standardized documentation for commercial and consumer transactions.
  • Reviewed, revised, and drafted loan and related documentation.
  • Advised clients on data use, privacy, data breach and cybersecurity issues.

Emilu is a voracious reader. When not poring over statutes, she’s usually found nose-deep in a good book.  Had she not found her love of law, Emilu would have been a book editor for The New York Times (or so she daydreams).
