Anatomy of the Deal:  Handling Due Diligence Like a Pro

Due diligence. Data rooms. Human resources and benefits play an important role in mergers and acquisitions. In the event your company is in the process of being acquired, your organization skills will be put to the test. Getting your hands on plan documents, SPDs, nondiscrimination testing, and signed employment agreements in a timely manner can go a long way in impressing your potential new owners. For this session, Attorney Mary Ellen Schill will provide helpful insight into how to get your house in order before buyer’s counsel has sent the first of many due diligence requests.

Attorney Nicole Stangl will discuss why “at-will” employment is not a reason for termination, the importance of documentation, how to handle accommodation requests, why you should never overlook harassment claims, and best timekeeping practices. Attorney Sara Ackermann will address the ever-changing landscape regarding non-compete agreements, non-solicitation agreements, and other restrictive covenants. She will discuss the proposed Federal Trade Commission ban, multiple nationwide changes in state law, and provide drafting tips and traps.
